Terms of Use for Spondei Electronic Invoicing Service

Service rules, responsibilities and data handling when sending invoices through Spondei and the Peppol network.

1. Service Interruption and Third-Party Dependency

Spondei acts as a technical interface facilitating access to Maventa (Visma) services. Spondei does not guarantee uninterrupted or error-free access to the e-invoicing network. Under no circumstances shall Spondei be held liable for financial losses, payment delays, or business interruptions resulting from downtime, maintenance, or malfunctions of Maventa’s infrastructure or telecommunication networks.

2. No Liability for Invoice Content

The user is solely responsible for the accuracy, legality, and tax compliance of the data transmitted through Spondei. Spondei does not perform any legal or accounting audits on sent invoices. The user agrees to indemnify Spondei against any claims, fines, or legal actions brought by a third party or tax authority following the use of the service.

3. Strict Limitation of Liability (The “Cap”)

Should Spondei’s liability be established, it shall be strictly limited, for all combined damages, to the total amount actually paid by the user to Spondei during the three (3) months preceding the event giving rise to the claim. Spondei shall in no event be liable for indirect damages (loss of opportunity, loss of clients, or reputational damage).

4. Personal Backup Obligation

The user acknowledges that Spondei and Maventa are not legal archiving providers. Spondei has no obligation to store documents beyond the technical duration required for transmission. It is the user’s sole responsibility to archive their invoices on their own secure storage to meet their legal record-keeping obligations.

5. Data Protection and Responsibilities

The user acknowledges that Spondei acts as a Data Processor on behalf of the user. For the purpose of invoice transmission, Spondei transfers data to Maventa (Visma), which also acts as a processor.
  • User Responsibility:The user remains the sole “Data Controller” of their own clients’ data (names, addresses, bank details). The user is responsible for ensuring they have the legal right to share this data with Spondei and Maventa.
  • Security:Spondei commits to implementing standard security measures to protect platform access but shall not be held liable for data breaches occurring within Maventa’s infrastructure or due to user negligence (e.g., password sharing).
  • International Transfers:The user accepts that Maventa may use subprocessors located outside the European Economic Area, in accordance with the Visma DPA accepted during onboarding.
